## Summary

**Greater court control and public transparency over antitrust consent judgments.** This bill would rewrite Section 5 of the Clayton Act to set stricter judicial review rules, shorten external review windows to 45 days, expand the FTC's civil role, and add new procedures for voluntary dismissals, asset holds, and disclosure. - Courts: Judges would have to find a reasonable belief, based on evidence and reasoned analysis, that a proposed consent judgment addresses the alleged violations and is appropriately tailored. Courts must decide within 30 days after the 45-day review period closes and may reject, retain, or remand cases. - Federal agencies and the FTC: The FTC could submit proposed consent judgments to district court and administrative proceedings would be stayed while a court reviews the proposal. The bill also requires broader production of communications and records, including current and former government officials. - States and dismissals: A State attorney general could move to substitute into a case during a 45-day stay before a voluntary dismissal, and substitution is mandatory unless clear and convincing evidence shows no viable claim. - Mergers and defendants: Transaction assets may be ordered held separate until 15 days after the government publishes its response to comments, courts can extend holds for good cause, and violations of hold orders can trigger penalties under section 7A.
