## Summary

**Treat restricted stock units (RSUs) like other employee equity when calculating overtime pay.** This bill would amend the Fair Labor Standards Act to explicitly exclude RSUs from the overtime regular-rate and to add transition protections for employers and workers. - Workers: Non-exempt employees who receive restricted stock units would see RSU value treated the same as stock options and similar equity for overtime regular-rate purposes. This clarifies that RSUs are not added into the overtime rate calculation. - Employers and plan sponsors: The bill would limit employer liability for RSUs granted before the effective date. It would also protect grants made within the 12-month period after the effective date if the RSU program existed on enactment and would require shareholder approval to change, and it preserves relief for plans under a collective bargaining agreement in effect on the effective date. - Technical and timing change: The measure would update statutory language from "exercise" to "exercise or acceptance" to reflect RSU mechanics and would take effect 90 days after enactment.
