NYSE Mandates Higher Stock Prices for Continued Listings

Published Date: 12/17/2025

Notice

Summary

The New York Stock Exchange (NYSE) wants to update its rules to make sure companies keep a minimum share price to stay listed. This change affects all companies listed on the NYSE and aims to keep the market strong and fair. The rule update was proposed in December 2025 and could impact companies that don’t meet the new price standards.

Analyzed Economic Effects

4 provisions identified: 0 benefits, 3 costs, 1 mixed.

Immediate delisting if stock closes under $0.25

If an NYSE-listed stock closes below $0.25 on any trading day, the Exchange will immediately suspend trading and begin delisting procedures. A security that closes below $0.25 will not be allowed to submit a plan to regain compliance. This rule is proposed to take effect October 1, 2026 and applies to all companies listed on the NYSE.

Can suspend trading after precipitous declines

The Exchange may suspend trading in a security that has experienced a precipitous decline and is at an abnormally low level even if the stock has not closed below $0.25. The Exchange says this authority is to address securities whose price is generally unable to recover. This clarification is part of the proposed change effective October 1, 2026.

Transition time for reverse stock splits before Oct 1, 2026

The Exchange will provide a transition period before the October 1, 2026 effective date so issuers can implement reverse stock splits to increase their share price. The Exchange also stated that its existing rule limiting reverse splits with a cumulative ratio of 200-to-1 or greater within a two-year period will remain in place.

Existing $1.00 30-day average price rule and six-month cure

Under current NYSE rules, a company is below compliance if the average closing price is less than $1.00 over a consecutive 30 trading-day period. After notification, a company has six months to restore a $1.00 closing price and a $1.00 30-day average on the last trading day of any calendar month during the cure period, or the Exchange will begin suspension and delisting procedures.
