NIMRA focuses on justification and payment details

The NIMRA (Notice of Intent to Merge and Request for Authorization) must describe the due diligence showing the merger is in members' best interests and must include all information relied on to determine merger value, the amount of any payment to members (the “merger payment”), and an explanation and distribution formula if the merger payment is less than merger value.

Less-prescriptive disclosure formatting

The rule removes the definition of “clear and conspicuous” that required text in bold and at least 12-point font and also removes a requirement that certain disclosure text be placed in a boxed single, otherwise blank sheet. This gives merging credit unions more flexibility in how they format notices and disclosure materials.

Modern notice posting replaces newspaper ads

No later than 30 days before a board of directors votes on a merger, a credit union must post a notice in its lobby and on its website and on a member's home banking landing page if it has one; if the notice is not on the website home page, the home page must show a link visible without scrolling. This replaces the prior newspaper-publication requirement.

Voting guidelines removed from regulation

The Board proposes to remove Sec. 708a.312, which provided non-binding voting guidelines (advice on state law applicability, voter eligibility, scheduling, etc.), eliminating that advisory text from the regulation.
