Higher fees for business filings

Beginning January 1, 2028, the state charges $100 to file many core business papers, like incorporations, amendments, mergers, revivals, and LLC or partnership formation documents. Routine items cost $25, such as a change of principal office or resident agent, and corrections; bulk resident‑agent changes are capped at $30,000. It costs $25 to reserve a name. Foreign registrations, renewals, and many qualification documents cost $100 each, and some minor filings cost $6.

Annual report fees and waiver

Beginning January 1, 2028, most businesses pay a $300 annual report fee each year; family farms pay $100. The Department waives the annual filing fee each year for a covered entity that shows it follows Labor and Employment Title 12 or offers a savings plan for employees that complies with federal law. The waiver applies beginning in fiscal year 2022 under the statute. Paper requests for an annual report extension cost $20; filing the extension online avoids this fee.

Faster SDAT filing for extra fees

Beginning January 1, 2028, you can pay $425, $1,000, or $1,500 per document to get 2‑hour, 1‑hour, or 30‑minute processing if you file at least 2 hours, 1 hour, or 30 minutes before close. The 1‑hour tier requires prior preclearance, which costs $275. When you pay the expedited fee, the Department must process your document on that basis; other documents are processed the same day where practical. A $50 fee applies for other expedited handling or for recording/preclearance when you do not choose a tier. These expedited and preclearance fees go to a dedicated state fund for this service.

No fee to close a business

Beginning January 1, 2028, the Department does not charge a processing fee for filings to dissolve, cancel, or terminate an entity.

Fees for certificates and copies

Beginning January 1, 2028, each certificate of status, compliance, withdrawal, or certified list costs $20. A duplicate certificate issued at the same time costs $1. Paper copies of other records cost $1 per page.

Nonprofit incorporation fee and fund share

Beginning January 1, 2028, nonstock nonprofits under 501(c)(3), (4), or (6) pay $150 to file articles of incorporation. Of each $150 fee, $50 goes to the Maryland Nonprofit Development Center Program Fund.

Service of process and bounced check fees

Beginning January 1, 2028, the Department charges $50 to accept service of process or notice; counties and Baltimore City do not pay this fee. If your check or other payment to the Department is not paid, you owe a $30 fee.

Rules on refunds and resubmissions

Beginning January 1, 2028, the Department must set rules explaining when a “nonrefundable” fee stays nonrefundable and when a past fee can be used for a resubmission.
