All people forming the corporation must sign the articles of association. They must send those signed articles to the Board of Governors of the Federal Reserve System, and the Board will file and keep them. The signers must also sign an organization certificate that states six things: the corporation’s name (which the Board must approve), where it will operate, the U.S. home office location, the amount of capital and number of shares, each signer’s name and address and how many shares they subscribe to, and a statement that this lets current and future subscribers or buyers use the subchapter’s benefits.
