§78d–6 Report and certification of internal supervisory controls

Title 15 › Chapter CHAPTER 2B— - SECURITIES EXCHANGES › § 78d–6

Last updated Apr 6, 2026|Official source

Summary

Requires the Commission to send a report within 90 days after the end of each fiscal year to the Senate Committee on Banking, Housing, and Urban Affairs and the House Committee on Financial Services about how it carried out exams of registered entities, enforcement investigations, and reviews of corporate securities filings. Each report must assess how well the Commission’s internal supervisory controls and the procedures for the staff doing those tasks worked, include a certification that the controls are adequate, and include a summary by the Comptroller General of the review mentioned in the law. The certification must be signed by the heads of the Division of Enforcement, the Division of Corporation Finance, and the Office of Compliance Inspections and Examinations (or their successors). Each signer must say they are responsible for the controls, understand them, tested their effectiveness during the 90 days ending with the fiscal year, and told the Commission about any big problems. If a director has served less than 90 days, the Commission can wait until they have served 90 days to file. Acting directors may sign if there is no director. The Comptroller General must also review the controls at least once every 3 years and may hire outside experts.
