The board of directors governs the corporation and carries out its powers. The number of directors and how long they serve follow the bylaws, but the board must have at least 10 members. Directors are chosen from the officers and members of the agencies and groups that take part in the annual national conference on citizenship. They are elected by a majority vote of the agencies and groups that send delegates and participate in the conference. The board holds an annual meeting at the time and place set in the bylaws and presents its annual report there. Special meetings follow the bylaws. The board picks three of its members to join the president and the three vice presidents to form the executive committee. When the board is not meeting, the executive committee can act for the board under the board’s direction and can allow the corporation’s seal to be put on required papers. The executive committee hires the executive director and sets that person’s qualifications and terms. The executive director suggests professional staff, but those hires must be approved by the executive committee.
