Sets up a 12-member board to run the corporation. The Librarian of Congress is a nonvoting member and picks the directors. All directors must be U.S. citizens. At least six must have film experience (production, distribution, preservation, or restoration), and two of those must be current members of the National Film Preservation Board. Those six should, when possible, come from different parts of the film world like producers, artists, archivists, historians, critics, theater owners, and lab or university staff. Directors are not employees or officers of the Library or the U.S. Government. Directors serve four-year terms with no limit on reappointment. The Librarian names the first chair for two years; after that the corporation’s bylaws control choosing and removing the chair. A majority of current directors is a quorum. The board must meet at least once a year when the Librarian or the chair calls a meeting. If a director misses three regular meetings in a row, the Librarian may remove them and the vacancy must be filled within 120 days the same way the original appointment was made. Directors are not paid but can be reimbursed for necessary travel and living expenses. They are not personally liable except for gross negligence.
