The constitution and bylaws decide how many directors, how they are chosen, how vacancies are filled, and their terms, but the board must have at least 15 but not more than 25 directors and at least four must be members of the medical profession. Officers are a chairman of the board, a president, one or more vice presidents as the rules allow, a secretary, a treasurer, and any assistant secretaries or assistant treasurers the rules provide. The constitution and bylaws set how officers are elected, how long they serve, and what their duties are.
