Creates a 12-member board to run the corporation. The Librarian of Congress is a nonvoting member and must appoint all directors within 90 days after the law took effect. Every director must be a U.S. citizen. At least 8 directors must know about sound recording work (production, distribution, preservation, or restoration), and those 8 must include two current members of the National Recording Preservation Board. The board should, when possible, reflect diverse views from the sound recording community. Directors serve 4-year terms and any vacancy is filled the same way the original appointment was made. The Librarian names the first chair for a 2-year term; after that the corporation’s bylaws control chair selection and removal and set the quorum size. The Librarian calls the board for regular meetings. Directors get no salary but may receive travel pay and per diem under sections 5702 and 5703 of title 5. They are not government employees or officers and are not personally liable except for gross negligence.
