A board of directors must run the corporation. The board sets overall policies, runs programs, and controls all the corporation’s money. The constitution and bylaws decide how many directors there are, how they are chosen, how vacancies are filled, and how long they serve, but the board must have at least 10 and no more than 25 members. Officers must include a president, one or more vice presidents, a secretary, a treasurer, and any others the constitution and bylaws provide. The constitution and bylaws also set how officers are elected, their terms, and their duties.
