Makes the board of governors the corporation’s ruling body. Between members’ meetings, the board must set overall policy, run the corporation’s programs, and control all its money. The bylaws set how many governors, how they are chosen, how vacancies are filled, and their terms, but the board must have at least 15 members. The board can create committees and give them powers by the bylaws or by board vote, even all the board’s powers. The corporation must have officers: a president, one or more vice presidents, a secretary, a treasurer, assistant secretaries and assistant treasurers, and any others the bylaws provide. The bylaws also decide how officers are elected, how long they serve, and what their duties are.
