Only national governing bodies can be members, and the corporation must put membership and governance rules in its constitution and bylaws. The rules must give fair representation to four groups: the national governing bodies (through a National Governing Bodies’ Council for communication), amateur athletes, multi-sport amateur organizations that run national programs in 2 or more Olympic/Paralympic/Pan‑American sports, and unaffiliated people who represent the public. For athletes, the rules must create an Athletes’ Advisory Council and let its chair (or the chair’s designee) vote on the board and committees. At least one-third of the board must be athletes elected by athletes. At least 20 percent of the board must be athletes who are currently representing the United States internationally or did so in the past 10 years. Athletes must hold at least one-third of the voting power on the board, committees, and grievance panels. An athlete who serves as an athlete representative must not work for the Center or have decision-making authority for 2 years after they stop representing athletes. The bylaws must also describe any general certification rules needed for membership.
