If you are upset by a corporation decision under sections 220527 or 220528, you can ask the corporation’s chosen arbitration and mediation provider for a review. You must file the request within 30 days after the corporation’s decision. When the provider gets your request, it must notify everyone involved and start the arbitration using its normal commercial rules, with a few special changes. The hearing usually has at least 3 arbitrators unless everyone agrees to fewer. The provider picks the site unless the parties agree otherwise. Hearings are open to the public. Parties can have lawyers or other representatives and bring any evidence; the arbitrators decide what evidence matters and formal evidence rules do not have to apply. Arbitrators can accept a settlement if everyone agrees and it fits the corporation’s rules. Their final decision is binding if it does not conflict with the corporation’s constitution and bylaws. Hearings can be reopened before the final decision by the arbitrators or on request; if reopening would delay a deadline previously agreed to, all parties must agree to reopen.
