The board of directors runs the corporation. Between meetings of the members it sets overall policy and programs and controls money the corporation raises. The constitution and bylaws say how many directors there are, how they are chosen (including filling vacancies), and how long they serve. Officers include a president, at least one vice president, a secretary, a treasurer, and any assistant secretaries or treasurers the constitution and bylaws allow. The constitution and bylaws also decide how officers are elected, how long they serve, and what their duties are.
