Summary

The corporation can make its own constitution, bylaws, and rules, create and change a corporate seal, and design emblems and badges. It can open and run offices and set up state, territorial, and local branches; buy, own, lease, encumber, and transfer property as needed (subject to section 22506(b) of this title); publish a magazine and other materials; bring or face legal action; and take any other actions needed to carry out its purposes.

The corporation may—
(1)adopt a constitution, bylaws, and regulations;
(2)adopt and alter a corporate seal;
(3)adopt emblems and badges;
(4)establish and maintain offices to conduct its activities;
(5)establish State, territorial, and local subdivisions;
(6)acquire, own, lease, encumber, and transfer property as necessary to carry out the purposes of the corporation, subject to section 22506(b) of this title;
(7)publish a magazine and other publications;
(8)sue and be sued; and
(9)do any other act necessary and proper to carry out its purposes.

In clause (4), the word “activities” is substituted for “business” for consistency in the revised title. The words “subject to section 22506(b) of this title” are added to alert the reader to the restriction in that section. In clause (8), the words “in courts of law and equity” are omitted as unnecessary. In clause (9), the word “things” is omitted as included in “act”.
