The board of governors runs the corporation and watches over its business and management. The board must set how many governors there are, but no fewer than 12 and no more than 25 members starting March 31, 2009, and no fewer than 12 and no more than 20 members starting March 31, 2012. The board picks a person to recommend as chairman to the President, and the President appoints the chairman. The chairman is a governor who leads meetings and has duties in the bylaws. Other governors are elected at the corporation’s annual meeting under the bylaws, and the board can fill vacancies until the next election. Governors serve 3-year terms, though some terms elected before March 31, 2012, may be shorter to meet the member limits. By March 31, 2012, about one-third of governors must be elected each year. The board can make committees, name officers (including a CEO), and remove governors (except the chairman), officers, and employees under bylaws. An advisory council of 8–10 members, with 1–3 from the Armed Forces, must meet at least once a year and advise the board. Voting by proxy is not allowed at board, annual, or chapter meetings unless the board allows it in an emergency. The board may adopt regular and emergency bylaws. "Entire board" means the number of members if there were no vacancies, and "emergency" is defined in the bylaws.
