Requires the corporation to have between 3 and 15 directors, split into classes with term lengths set in the bylaws. More than half of the directors must be at a meeting to act, and decisions need a majority of those present. Directors can be removed or vacancies filled by a majority vote at a meeting called for that purpose; a person chosen to fill a vacancy serves until the next annual meeting.
