Summary

An executive board made up of U.S. citizens runs the corporation. The bylaws set how many board members there are, who can serve, and how long they serve. If a seat becomes vacant, the remaining board members must fill it by a majority vote. The bylaws can also set how many members are needed for official business, and that number can be less than a majority of the full board. The board can, by a vote of a majority of the entire board, name an executive or governing committee of 3 or more members. More than half the committee is enough to act. As the board or bylaws allow, that committee can carry out board duties and can authorize the corporate seal. The board can also, by a majority vote of the entire board, create other standing committees and give them powers in the bylaws.
