Creates a 12-member board to run the foundation. The 12 directors must be named within 60 days of the law taking effect: the President picks 4 (no more than 2 from the same political party), the Speaker of the House picks 2, the House Minority Leader picks 2, the Senate Majority Leader picks 2, and the Senate Minority Leader picks 2. In addition, four ex officio nonvoting members serve: the chair and ranking minority member of the House Administration Committee and the chair and ranking minority member of the Senate Rules and Administration Committee (or their designees). Directors are not federal employees and serving does not make them U.S. officers or employees except as the chapter otherwise says. Terms are 4 years and vacancies are filled the same way as the original appointment. The directors choose one of their number as chair, who cannot be a current or former holder of a partisan elected office or a current or former officer of any national political party committee. Quorum is set by the foundation’s bylaws. The board meets when the chair calls regular meetings, but at least once a year. Directors are unpaid but may get travel and per diem under 5 U.S.C. 5702 and 5703. Directors are not personally liable except for gross negligence.
