Creates the International Clean Energy Foundation as a government-owned corporation in the executive branch to carry out the work described in this law. The Foundation must help meet long-term foreign policy and energy security goals by reducing global greenhouse gas emissions. It must be run by a Board of Directors and led day-to-day by a Chief Executive Officer who reports to the Board. The CEO is chosen by the Board and must be approved by the Senate. The CEO must be a recognized leader in clean energy or climate work, is paid at Executive Schedule Level III (section 5314 of title 5), and hires the Foundation’s officers with the Board’s approval. The Board includes the Secretary of State (or designee), the Secretary of Energy (or designee), the USAID Administrator (or designee), plus four other experts appointed by the President with Senate approval. Each of those four must come from lists provided by the Majority and Minority Leaders of the House and the Senate (one from each leader). The CEO is a nonvoting member. The three agency members serve as long as they hold their agency jobs. The four appointed members serve 3-year terms and may be reappointed for another 3 years. A majority of the Board is a quorum, and normally a quorum must include at least one of the four appointed members except for meetings during the 135-day period beginning on December 19, 2007. The Chairperson is the Secretary of State. The Board must meet at least once a year. Vacancies are filled the same way as the originals, and the Chair may name an acting member for up to 1 year while a nominee awaits confirmation. Agency members get no extra pay but receive travel expenses. The four appointed members get daily pay at the highest rate under section 5332 of title 5 for days worked, plus travel and per diem, but may not be paid for more than 90 days in any calendar year.
