Filings May Be Suspended for Fee Errors
Starting March 16, 2026, EDGAR will generally suspend filings rather than issue warnings when structured filing fee information is incorrect or incomplete. EDGAR will still issue warnings in some instances, but suspension may block a filing from being accepted until corrected.
Foreign Issuer Directors Must File Section 16 Reports
Starting March 18, 2026, each director or officer of a foreign private issuer with securities registered under Section 12(b) or 12(g) must file reports under Section 16(a) of the Exchange Act, under the Holding Foreign Insiders Accountable Act. Forms 3, 4, and 5 were updated on March 18, 2026 to add a Country field and a Foreign Trading Symbol field for reporting persons.
ACH Per-Transaction Fee Limit Reduced
As of March 16, 2026, the ACH limit for filing fee payments changed from $99,999,999.99 per transaction to $24,999,999.99 per transaction. Filers needing to pay more than $24,999,999.99 may make multiple transactions to cover the total.
Schedule 13D/G Can List Up To 20 CUSIPs
Beginning March 16, 2026, Schedules 13D and 13G (and related submission types) were updated to allow reporting up to 20 CUSIP numbers, and at least one CUSIP entry is required. Filers should include the CUSIP(s) when submitting these schedules.
Notarization No Longer Required for Form X-17A-5 Part III
As of March 24, 2025, Form X-17A-5 Part III no longer requires the oath or affirmation to be notarized. The notarization checkbox and related text were removed from the EDGAR submission template and are not required in filer-constructed submissions.
Cover Letter Required for Access to Existing CIK
The Filer Manual (Volume I, Section 3(c)) was amended to clarify that a cover letter is required for all applicants who seek access to an existing EDGAR account (existing CIK). Additional supporting documents (like official state registers) are required only if the applicant asserts they assumed legal control of the filer but did not receive EDGAR access information.
EDGAR Access Codes Discontinued; Individual Credentials Used
Pursuant to prior EDGAR Next rulemaking, EDGAR access codes (passwords and passphrases) were discontinued on December 19, 2025, and the system now requires individual account credentials and individual permissions maintained in the EDGAR Filer Management dashboard. Section 4 of Volume I related to access codes was removed from the Filer Manual.
Form 13H Item 6 Now Allows Reordering
On October 3, 2025, the EDGAR submission template for Form 13H was updated to allow filers to reorder entries in Item 6 (the list of broker-dealers where the large trader has an account), including additions and deletions in the middle of the list. This change does not affect the XML technical specifications for Form 13H.
