Published Date: 4/22/2026

Notice

Summary

The Cboe BZX Exchange wants to start listing and trading shares of the BondBloxx Private Credit Trust, a new investment option that aims to offer good returns by investing in private credit. This change affects investors looking for fresh ways to grow their money and could start soon after the SEC reviews the proposal. It’s a cool new chance to diversify your portfolio with trust-issued shares on a trusted exchange.

Analyzed Economic Effects

5 provisions identified: 3 benefits, 2 costs, 0 mixed.

Liquidity Strategy and Redemption Risk

Under normal circumstances the Trust expects to hold approximately 20% of its portfolio in cash and cash equivalents to handle redemptions, with about 80% in private credit assets. If cash sources are insufficient, the Trust may sell assets, arrange financing, or suspend redemptions for up to approximately 2.5 months, and Shares could trade at a deep discount during suspension.

New Exchange-Listed Private Credit Trust

The Cboe BZX Exchange proposes to list and trade shares of the BondBloxx Private Credit Trust, giving investors an exchange-listed way to buy into a pool of private credit assets. The Trust must have at least 100,000 Shares outstanding to start trading and will only trade after the Trust's registration statement is effective.

Expected Cash Yields of 5%–10%

The Trust expects monthly cash yields from its private credit holdings to range from approximately 5% to 10% (monthly cash yield defined as monthly cash flows divided by opening principal balance), though yields may vary. Those cash flows may be reinvested or retained before distributions to shareholders.

Creation/Redemption Mechanics and Limits

Shares are created and redeemed only in Creation Units of at least 50,000 Shares and are redeemable only by authorized participants; individual Shares are not redeemable. Authorized participants must place creation/redemption orders by 2:00 p.m. ET on a Business Day.

Daily NAV and Frequent IIV Transparency

The Trust's NAV will be calculated once daily at the close (normally 4:00 p.m. ET) and made available to all market participants; an Intraday Indicative Value (IIV) will be disseminated every 15 seconds during Regular Trading Hours (9:30 a.m. to 4:00 p.m. ET). The Advisor's website will publish daily and quarterly portfolio information.
