SEC Extends Routine Annual Corporate Filing Form
Published Date: 5/29/2026
Notice
Summary
The SEC is asking to keep using Form 10-K, the yearly report companies file to share their financial health with the public. They want to extend approval for this form and make it a 'common form' that other agencies, like the Federal Reserve, can also use. This means less paperwork hassle and no new costs, but they’re inviting comments before finalizing the plan.
Analyzed Economic Effects
2 provisions identified: 0 benefits, 1 costs, 1 mixed.
Large annual Form 10-K burden
About 6,740 issuers file Form 10-K once per year. The SEC estimates each Form 10-K imposes 1,695.2 burden hours and $334,438.81 in cost per response, for total annual burden of 11,425,648 hours and $2,254,117,579.
SEC seeks 'common form' designation
The SEC is requesting OMB approval to designate the existing Form 10-K collection (OMB Control No. 3235-0063) as a 'common form' because the Board of Governors of the Federal Reserve System also uses the collection (under OMB Control No. 7100-0091). The ROCIS guidance quoted explains that once approved, other agencies can obtain approval to use the identical information collection for the same purpose by providing agency-specific burden estimates to OMB, and those agencies would not need to provide additional public notice to use the common form.
