New Overnight Trading Window
The Plan defines Overnight Protected Hours as 9:00 p.m. Eastern Time Sunday through Thursday to 4:00 a.m. Eastern Time the next day. The Participants expect Processors to begin overnight trading preparations for expanded hours on December 6, 2026, and the Participants will announce the Operative Date once systems changes are complete.
20% Overnight Price Bands Set
During Overnight Protected Hours the Primary Listing Exchange will calculate an Overnight Lower Price Band and Overnight Upper Price Band based on two reference prices (the official closing price and the consolidated last round-lot sale as of 7:45 p.m. ET). The bands use a 20% Percentage Parameter (20% × leverage ratio for leveraged ETPs) with minimum thresholds of $1.00 for stocks under $1.00 and $3.00 for stocks $1.00 or more; Primary Listing Exchanges must send bands to Processors by 8:55 p.m. ET for public dissemination before 9:00 p.m. ET.
Orders Outside Bands Rejected; Overnight Halts
Trading centers operating during Overnight Protected Hours must prevent trades and price displays outside the Overnight Price Bands, and orders outside the bands will be rejected. Primary Listing Exchanges may declare a Regulatory Halt during Overnight Protected Hours; if a Regulatory Halt is declared, Participants will reject orders for that stock and the stock will not reopen during the overnight session.
Phase 1 Now; Phase 2 Planned in 2027
The overnight protections will be implemented in Phase 1 as an interim structure; the Participants expect to gather data during 23/5 trading and submit a Phase 2 proposal intended to be implemented by the fourth quarter of 2027. Phase 2 may include sliding price bands, Processors calculating and disseminating bands, and recalibrated Percentage Parameters that could differ by stock tier.
