Local asphalt buyers face higher prices
If you buy TDOT-approved hot-mix asphalt in Shelby County, Tennessee (used for state road projects), the Department of Justice says the proposed APAC acquisition of Standard would likely raise prices and reduce service and product quality. The complaint states APAC and Standard together account for more than 45% of the market and that APAC would own five of the seven TDOT-approved asphalt plants in Shelby County after the deal.
Court orders sale of two local asphalt plants
The proposed Final Judgment requires APAC and Standard to divest two plants — Tuggle Road (4765 Tuggle Road, Memphis, TN 38113) and Millington (7666 Raleigh Millington Road, Millington, TN 38053) — to Dunn Investment Company or another buyer acceptable to the United States and the State of Tennessee. The divestiture must occur within 30 calendar days after the Court enters the Asset Preservation Stipulation and Order, although the United States may agree to extensions not to exceed 90 calendar days in total.
Worker protections during sale and hiring
Employees tied to the two divested plants ("Relevant Personnel") must be identified within 10 business days and Defendants must assist prospective buyers to hire them. If Relevant Personnel elect employment with the buyer within 180 days before the Divestiture Date, defendants must waive non-competes, vest and pay prorated bonuses and other accrued compensation, and provide equivalent benefits. Defendants may not solicit those employees for 24 months after the Divestiture Date if they are hired by the buyer within 180 days of the Divestiture Date.
Seller cannot finance buyer’s purchase
The Final Judgment bars the defendants from financing all or any part of an Acquirer's purchase of the divested assets. That means the buyer cannot rely on seller financing from APAC or Standard for the purchase of the Tuggle Road or Millington assets.
