Fund may add Exchange‑listed share class

The fund may now issue an "Exchange Class" of shares listed on a national securities exchange and sold through an at‑the‑market offering. Exchange Class shares will be sold without a sales load but may be subject to distribution or shareholder service fees, and trades on the Exchange can occur at prices different from the fund's net asset value (NAV).

Tokenized share class: trading, ledger, fees

The fund may issue a "Tokenized Class" of shares recorded using distributed ledger technology that can be traded on one or more alternative trading systems (ATSs), quoted on other quotation mediums, or traded peer‑to‑peer between approved wallets. Tokenized Class shares may be distributed by broker‑dealers or directly by the fund's transfer agent, may incur transaction ("gas") fees, and the fund (or its agent) will perform anti‑money laundering and know‑your‑customer reviews and only permit approved wallets to hold Tokenized Class shares.

Class asset‑based distribution and service fees allowed

The funds may impose asset‑based distribution and/or shareholder service fees for particular classes of shares, subject to compliance with FINRA rule 2341(d) and as if rules 12b‑1 and 17d‑3 applied. Each class will bear expenses attributable specifically to that class, and the funds will treat class fees and allocations consistently with rule 18f‑3.

No early withdrawal charges on new classes

The funds will not impose any early withdrawal charges (EWCs) on Exchange Class shares or Tokenized Class shares. This condition is explicit: no EWC will be charged on those newly listed or tokenized share classes.

Daily NAV and trade‑price disclosure required

Each business day the fund will prominently disclose on its publicly available website the current net asset value (NAV) per share as of the end of the prior business day. The fund must also clearly disclose in its registration statement and on its website that purchases and sales on an Exchange, an ATS, or in peer‑to‑peer transactions may occur at prices other than NAV.

Expense allocation and repurchase fairness rules

If listing rules require the fund to hold annual shareholder meetings, the fund will disclose that non‑Exchange classes will pay a portion of those meeting expenses, allocated across all shareholders. The funds also state that any repurchase offers will be made equally to all holders of a fund and allocated on a fund (not class) basis.
