New Valuation Reporting Rules for Funds

If you operate a registered investment company or business development company (a “fund”), Rule 2a-5 requires a board-appointed valuation designee to give the board written quarterly reports, a written annual assessment, and prompt written notice of material matters no later than five business days after the designee becomes aware of them. The quarterly reports must include requested materials and a summary of material valuation matters for the prior quarter, and the annual report must include testing results and an assessment of resources for fair value determinations.

Estimated Time Burden Per Fund

The Commission staff estimates each fund will spend 34 hours per year complying with the Rule 2a-5 information collection, with a monetized time cost of $33,422 per fund annually. Compliance is mandatory for any fund that must determine fair value under the Investment Company Act.

Aggregate National Compliance Costs

Staff estimates 10,047 funds will respond annually, totaling 341,598 hours; aggregate monetized time cost of $335,790,834 per year; and aggregate external cost burden of $36,490,704 per year. The public may comment on this information collection by emailing the Commission or via reginfo.gov by September 28, 2026.

Confidentiality of Commission Submissions

If records created under Rule 2a-5 are provided to the Commission during examinations or investigations, the notice states those records would be kept confidential subject to applicable law.
