KKR Ordered to Pay $250M Penalty

The proposed Final Judgment filed August 26, 2026 requires KKR & Co. GP LLC to pay a civil penalty of $250,000,000 to the United States. That payment must be made within thirty calendar days after the court enters the Final Judgment.

Labor-Analytics Prices Rose ~20%

The complaint says KKR acquired Emsi (a labor market analytics company) in 2021 for about $350 million and later adopted pricing steps that a KKR consultant recommended would raise prices by about 20% on average across customer types. The Emsi acquisition closed June 9, 2021, and KKR submitted corrective HSR filings on April 20, 2023 and August 15, 2023.

Systemic HSR Violations Harm Competition

The United States alleges KKR failed to make complete and accurate HSR premerger filings at least 16 separate times since 2021, amounting cumulatively to more than ten thousand days of violation and exposing KKR to a maximum statutory penalty for those 16 known violations that currently exceeds $650,000,000. The complaint says those violations allowed KKR to close potentially anticompetitive deals that could lead to higher prices, fewer choices, and less innovation.

General Aviation Rates Could Rise Regionally

The complaint describes KKR's October 2021 acquisition of Lynx for about $425 million (closed November 23, 2021) and says omitted and altered HSR documents concealed plans that combining Lynx with Atlantic Aviation could "help increase rates" in Pittsburgh (PIT/AGC) and "help lift rates and prices" in Portland (PDX/UAO).
