Fund record-retention time rules

If you operate or work with a registered investment company (a “fund”), Rule 31a-2 requires you to keep certain books and records permanently (with the first two years kept in an easily accessible place) and other specified records for at least six years (with the first two years easily accessible). The rule explicitly applies to funds and certain underwriters, broker-dealers, investment advisers, depositors, and majority-owned subsidiaries, and compliance with Rule 31a-2 is mandatory.

The Commission estimates about 2,741 funds must comply, with each fund spending 221 hours per year preserving required records and a monetized time cost of $49,283 per fund. The total annual burden is about 605,761 hours and total annual time costs of approximately $135,084,703; estimated external cost burden is about $40,602 per fund and an aggregate external cost burden of approximately $111,290,082. Public comments on this collection are due by October 26, 2026.
