Broker-dealer must disclose control ties

If your broker-dealer is controlled by, controls, or is under common control with the company whose securities it is buying or selling for you, the broker-dealer must give you written notice disclosing that control relationship at or before completion of the transaction. This rule applies when the broker-dealer is trying to sell to or buy from a customer.

Small compliance time burden for broker-dealers

The SEC estimates that about 162 broker-dealers each spend roughly 10 hours per year complying with Rule 15c1-5, totaling about 1,620 hours per year. The rule does not require any record retention period and does not collect confidential information.
