CPAs Could Skip Millionaire Status for Private Investment Perks

Published Date: 10/5/2026

Notice

Summary

The SEC is thinking about making U.S. Certified Public Accountants (CPAs) automatically count as accredited investors. This means CPAs could more easily invest in special private deals that usually need extra money or experience. If you’re a CPA, you can share your thoughts by December 4, 2026, so this change can move forward smoothly.

Analyzed Economic Effects

4 provisions identified: 2 benefits, 2 costs, 0 mixed.

CPAs could qualify as accredited investors

The SEC is considering an order that would designate holding a U.S. Certified Public Accountant (CPA) license in good standing as qualifying a natural person for accredited investor status. If designated, CPAs would be able to participate in investment opportunities generally limited to accredited investors, such as investments in private companies and private funds.

Potentially adds ~650,000 CPAs to investor pool

The SEC notes NASBA estimates there are over 650,000 CPAs as of August 27, 2026. Designating CPA licenses as a qualifying credential would potentially expand the pool of individuals who could be accredited investors by that scale.

Qualification applies only to the license holder

The notice states that individuals holding CPA licenses in good standing would only themselves qualify as accredited investors and could not rely on that status to purchase securities on behalf of another person. In other words, a CPA's accredited status would be personal and not transferable to others.

Must hold CPA license in good standing

The notice specifies that the designation would apply to holding a CPA license 'in good standing,' which the Commission links to maintaining an active license and continuing professional education governed by the issuing jurisdiction. Licenses that are inactive would not qualify under the Commission's discussion of Rule 501(a)(10).
