Restricted stock units excluded from overtime
If enacted, this bill would add restricted stock unit programs to the list of employer equity arrangements excluded from the FLSA regular-rate calculation for overtime pay. It would also change the word "exercise" to "exercise or acceptance" so accepting RSUs is covered. If enacted, acceptance or exercise of RSUs would not be included in the regular rate used to compute overtime pay. This would lower overtime pay for some workers who receive RSUs and would reduce employers' overtime costs. The amendments would take effect 90 days after enactment.
