New SEC small-entity definition review
This bill would require the Securities and Exchange Commission (SEC) to study its definition of "small entity." The SEC would complete a study within 1 year and again every 5 years. Each study would examine alignment with the Regulatory Flexibility Act, U.S. market growth, and how to include a meaningful number of entities. The SEC would send study results and detailed recommendations to Congress. The SEC would revise its rules after each study, with public notice and comment. After final rules, the SEC would update any dollar cutoffs every 5 years to reflect CPI‑U inflation. These changes would take effect on enactment.
