Administrative power of Secretary of State pertaining to foreign limited liability partnership laws. The Secretary of State shall have the power and authority reasonably necessary to enable him or her to administer this chapter efficiently and to perform the duties imposed upon him or her pursuant to this chapter, including, without limitation, the power and authority to employ from time to time such additional personnel as in his or her judgment are 961 14-8-58 CORPORATIONS & PARTNERSHIPS 14-8-61 required for such purposes. Rules and regulations pertaining to foreign limited liability partnerships. The Secretary of State may promulgate such rules and regulations, not inconsistent with the provisions of this chapter, which are incidental to and necessary for the implementation and enforcement of such provisions of this chapter as are administered by the Secretary of State. Effect of Secretary of State’s filing of documents pertaining to foreign limited liability partnerships. The Secretary of State’s duty to file documents under this chapter is ministerial. The Secretary of State’s filing or refusing to file a document does not: (1) Affect the validity or invalidity of the document in whole or part; (2) Relate to the correctness or incorrectness of information contained in the document; or (3) Create a presumption that the document is valid or invalid or that information contained in the document is correct or incorrect.
