10 GCA § 84109

(a) Selection of Officers; Compensation of Members. I Maga’lahi (the Governor) or his representative shall serve as temporary Chairman and shall convene the first meeting of the Commission. At its first meeting, the Commission shall select a chairman and such other officers from its membership as it deems necessary. The Commission may meet as often as necessary upon the call of the Chairman, but meetings shall be held at least quarterly. The members of the Commission shall receive no compensation for their services, but shall be reimbursed for their actual and necessary expenses incurred in the performance of their duties, including travel expenses. (b) Quorum. A majority of the voting members appointed plus one (1) shall constitute a quorum for the transaction of business. A majority vote of the members present at a meeting at

which a quorum is established shall be necessary to validate any action of the committee. (c) Good Faith Immunity. No member of the EMS Commission shall be liable in any civil action for damages for any act done or omitted in good faith in performing the functions of the Office.
