Sec. 1.101. DOMESTIC FILING ENTITIES. The law of this state governs the formation and internal affairs of an entity if the entity's formation occurs when a certificate of formation filed in accordance with Chapter 4 takes effect. Acts 2003, 78th Leg., ch. 182, Sec. 1, eff. Jan. 1, 2006.
