Sec. 431.185. EFFECT OF ISSUANCE OF CERTIFICATE OF DISSOLUTION. The corporate existence ends on the issuance of the certificate of dissolution except for: (1) the purpose of any ongoing suit or other proceeding; and (2) corporate action by a director or officer under this chapter.
