Sec. 22.215. VOTING IN PERSON OR BY PROXY. A director of a corporation may vote in person or, if authorized by the certificate of formation or bylaws of the corporation, by proxy executed in writing by the director. Acts 2003, 78th Leg., ch. 182, Sec. 1, eff. Jan. 1, 2006.
