16-1a-305. Registration of name.

(1) A foreign filing entity not registered to do business in this state may register the foreign filing entity's name, or an alternate name adopted in accordance with Section, if the name complies with Section. 16-1a-507 16-1a-302

(2) To register a name or an alternate name adopted in accordance with Section, a foreign filing entity shall deliver to the division for filing an application that states: 16-1a-507 the foreign filing entity's requested name; the jurisdiction and date of the foreign filing entity's formation; and any alternate name adopted in accordance with Section. 16-1a-507

(3) If the division finds that the name requested in Subsectionis available, the division shall register the name for the applicant's exclusive use. (2)

(4) The registration of a name under this section is effective for one year after the day on which the division registers the name as described in Subsection. (3)

(5) A foreign filing entity whose name registration is effective may renew the registration for a successive one-year period by delivering, not earlier than three months before the day on which the registration expires, to the division for filing a renewal application that complies with this section. A renewal application renews the name's registration for one calendar year after the day on which the division files the renewal application described in this Subsection. (5)

(6) A foreign filing entity whose name registration is effective may register as a foreign filing entity under the registered name or consent in a signed record to the use of the registered name by another entity.
