Title 12 › CHAPTER 16 — FEDERAL DEPOSIT INSURANCE CORPORATION › § 1831i
Banks and bank holding companies must tell their federal banking regulator at least 30 days before adding someone to the board or hiring a top executive, or another time the regulator sets. That notice is required when the bank misses minimum capital rules or is in a troubled condition based on its latest reports, or whenever the regulator decides notice is needed. The regulator can block the hire or board addition if it gives a disapproval before the end of the notice period, which can be up to 90 days from when the regulator gets the notice. In emergency rules, the regulator can allow a shorter or waived notice, but it can still disapprove within 30 days after such a waiver. The notice must include the information listed in section 1817(j)(6)(A) and any other details the regulator asks for. The regulator will reject a person if their ability, experience, honesty, or character suggest they would not be good for depositors or the public. Each regulator must write rules that define “troubled condition” and “senior executive officer.”
