Title 12 › CHAPTER 16 — FEDERAL DEPOSIT INSURANCE CORPORATION › § 1831m
Insured banks must file a yearly report with the Corporation, their federal bank supervisor, and any state bank regulator that oversees them. The report must include the bank’s financial statements, a signed statement from the CEO and the chief accounting or financial officer saying they are responsible for the statements, internal controls, and following safety-and-soundness rules, plus the officers’ assessment of how well those controls and laws were followed at the end of the fiscal year. An independent public accountant must audit the financial statements each year under generally accepted auditing standards and must separately attest to management’s internal-control statement. The annual report is open to the public, though the Corporation and federal supervisors can mark some parts confidential. Banks must give copies of audit reports, qualifications, and management letters to the Corporation, federal and state supervisors within 15 days of receiving them, and must notify those agencies in writing within 15 calendar days if they change auditors and explain why. Every bank must have an independent audit committee made mostly or entirely of outside directors. That committee reviews the management and auditor reports. Large banks must have committee members with banking or finance experience, access to outside counsel, and must not include major customers. A federal agency may allow a committee with a majority (but not fewer than a majority) of outside directors if the bank shows it tried and had trouble finding enough outside directors. For large banks, the independent auditor may be required to review quarterly reports and give those reviews to the audit committee and supervisors. Auditors must pass peer reviews and must provide working papers if the Corporation or supervisors request them. Banks that are subsidiaries can meet many requirements at the holding-company level if certain asset and rating conditions apply (including $5,000,000,000 and CAMEL 1 or 2 rules); banks with total assets under $150,000,000 are exempt unless the Corporation sets a higher amount by rule.
