Title 12 › CHAPTER 2 — NATIONAL BANKS › SUBCHAPTER XVI — CONSOLIDATION AND MERGER › § 215
Banks may merge with one or more national banks in the same State and become one national bank if the Comptroller approves. The boards must agree and the shareholders must vote for it, usually by owners of at least two-thirds of the stock (or a higher amount if state law demands). The meeting that votes on the merger must be announced in a local newspaper for four weeks and each shareholder must get certified or registered mail at least ten days before the meeting, unless a shareholder waives notice or the Comptroller finds an emergency and allows the notice to be skipped. Any extra notice required by the State must also be given. The new bank takes on all debts and must have at least the minimum capital required for a national bank there. Shareholders who voted against the merger or who said in writing they object may ask for cash for their shares within thirty days after the merger is finished and must give up their stock certificates. The share value is set at the merger date by three appraisers (one chosen by the majority-stockholders, one by the new bank’s directors, and one chosen by those two); two of three decide. A shareholder unhappy with that value has five days to ask the Comptroller for a final reappraisal. If appraisers are not chosen or fail within ninety days, the Comptroller will order an appraisal and the new bank pays the cost. Paid-out shares that would have been issued instead are sold at public auction and any extra sale money over what was paid goes to the paid shareholders. All property, rights, and trustee roles move to the new bank automatically, and courts can remove the bank from a fiduciary role as before but may not discriminate against national banks. The new bank may issue stock under the merger terms without giving old shareholders preemptive rights.
