Title 15 › CHAPTER 2A — SECURITIES AND TRUST INDENTURES › SUBCHAPTER I — DOMESTIC SECURITIES › § 77j
Requires that a prospectus give the same facts that are in the registration statement, with a few allowed exceptions for certain supporting documents and for securities issued by foreign governments. If a prospectus is used more than nine months after the registration became effective, the facts in it must be current to a date no more than sixteen months before the prospectus is used, as long as that information is known or can be provided without undue effort or cost. The SEC can allow some information to be left out or summarized, can require extra information it finds needed to protect investors, and can group prospectuses into classes and set the form and content for each class. If a shorter or summarized prospectus is used, it usually must be filed with the registration statement but is not treated as part of that statement for certain legal purposes. The SEC can stop or suspend use of a prospectus if it is unfiled, misleading, or omits important facts, and must give notice and a chance for a hearing. Required statements must be placed where they are easy to see and printed in type as large as the main text unless the SEC allows otherwise. If a prospectus is a radio or TV ad, copies must be filed under SEC rules.
