Title 15 › CHAPTER 2B — SECURITIES EXCHANGES › § 78dd–3
Makes it illegal for people or companies that are not U.S. issuers or U.S. businesses to, while in the United States, use the mail, phones, the internet, or any other interstate means to bribe or try to bribe foreign officials, foreign political parties, party officials, or candidates to help win, keep, or steer business. That ban covers paying, offering, promising, or authorizing money or anything of value, and also covers doing something while knowing the money or thing of value will be passed on to those foreign officials or parties. The rule targets payments meant to influence official acts, cause an official to break a duty, win an unfair advantage, or get an official to use influence with a foreign government. Small payments to speed up routine government actions are allowed. A defense exists if the payment was allowed under the foreign country’s written laws, or if it was a reasonable, real business expense (for example travel or lodging) tied to promoting products or carrying out a contract. The U.S. Attorney General can sue to stop violations, require documents and testimony, and seek court orders. Penalties: a foreign company can be fined up to $2,000,000 (plus a civil penalty up to $10,000). A foreign person can be fined up to $100,000, imprisoned up to 5 years, or both (plus a civil penalty up to $10,000). The law defines key words simply: “person” means non‑U.S. individuals or foreign businesses; “foreign official” means someone acting for a foreign government or a designated international organization; “knowing” means being aware or believing something is very likely; and “routine governmental action” means ordinary tasks like getting permits, processing visas or papers, police protection, mail service, utilities, inspections, or loading and unloading cargo.
