Title 15 › CHAPTER 2D — INVESTMENT COMPANIES AND ADVISERS › SUBCHAPTER I — INVESTMENT COMPANIES › § 80a–25
Anyone who asks for votes, proxies, consents, powers of attorney, deposits, or formal objections about a registered investment company's reorganization must file or mail a copy of the reorganization plan, any deposit agreement, and the solicitation papers to the Securities and Exchange Commission within 24 hours after the asking begins, unless those papers are already on file with the Commission. If the company involved or holders of 25 percent of any class ask before any asking begins, the Commission may give an advisory report about whether the plan is fair and how it affects each class of holders. If the company gets that report, it must send it quickly to all affected holders, but only if the company received the report at least 48 hours (not including Sundays and holidays) before final action at a meeting or before the final date for acceptance if no meeting is held. For securities not registered as to ownership, the company can publish a notice in a local paper and make the report available on request. A federal district court in the company's state of incorporation or where its main office is may stop the plan if the Commission brings a case and the court finds the plan is not fair and equitable to all holders. These rules do not change powers related to reorganizations under title 11.
