Registered investment companies must file annual reports with the Commission like companies with securities on a national exchange file under section 13(a) of the Securities Exchange Act of 1934. They must also keep the Commission updated by filing other information and documents as required, and must send the Commission copies of any report or interim notice with financial statements that they send to any class of their security holders no later than 10 days after sending it to investors. These companies must give their stockholders reports at least semiannually. Those reports must include a balance sheet and total value of investments, a list of securities owned with amounts and values, an income statement showing any income or expense items over 5 percent, a surplus statement showing any charge or credit over 5 percent, a summary of total pay to directors, advisory board members, officers, and certain related persons, and totals of purchases and sales of non‑Government investment securities during the period. The Commission can require more information in semiannual reports. Annual financial statements may need an independent accountant’s audited certificate and verification of securities. Persons owning more than 10 percent of a closed‑end company’s shares, or certain officers, directors, advisers, or affiliated persons, have the same duties and liabilities for their transactions as those in section 16 of the Securities Exchange Act. A person running a church plan excluded from being an investment company must notify plan participants in writing at least annually (and promptly for new participants after May 31, 1996) that the plan and related accounts are not subject to federal or state securities registration, regulation, or reporting and that participants will not have those protections. The Commission may require such plans to file a notice with specified information. The Commission must adopt data standards for all reports filed under this rule, except exhibits, signatures, and certifications, and must try to make them compatible with the data standards in section 5334 of title 12.
