Title 16 › CHAPTER 12 — FEDERAL REGULATION AND DEVELOPMENT OF POWER › SUBCHAPTER III — LICENSEES AND PUBLIC UTILITIES; PROCEDURAL AND ADMINISTRATIVE PROVISIONS › § 825d
Officers and directors of a public utility must not take money or anything of value for arranging, pledging, or selling the utility’s securities, share in those sale proceeds, or help pay dividends out of money that should be counted as capital. After six months from August 26, 1935, a person cannot serve as an officer or director of more than one public utility, or serve at the same time for a public utility and for a bank, underwriter, or a company that supplies electrical equipment to that utility, unless the Commission has approved those roles after being shown that no public or private interests will be harmed. The Commission will not approve positions that existed on August 26, 1935 unless an application was filed within sixty days after that date. The rule about holding both utility and underwriting or banking roles does not apply if the person stays out of decisions about choosing underwriters when their bank or firm is under consideration, if their bank or firm does not underwrite the utility’s securities, if the utility picks underwriters by competitive bidding, or if every federal and state regulator with jurisdiction has approved the security issue. By April 30 each year, anyone who in the prior year was an officer or director of a public utility and also held certain other listed positions (like roles at banks, underwriters, fuel or equipment suppliers, top customers, or related companies) must file a public statement with the Commission. Each utility must publish, by January 31 each year, the list of top buyers used for that reporting. Definitions: “public utility” here includes companies in a holding company system with a registered holding company unless no company in that system is an electric utility. “Holding company,” “registered holding company,” and “holding company system” use the meanings from the Public Utility Holding Company Act of 1935.
