The Board must have a Director as the program’s chief executive. The Board picks the Director by a majority vote, decides how long the Director serves, and can remove the Director by majority vote. Working with the Board, the Director runs the program, creates programs to carry out Board policies, sets up divisions as needed, and hires and pays staff under the Board’s bylaws. The Director and the Board must set up rules for money handling and accounting and make sure people with accounting and financial expertise run the finances; contractors can be used. The Director must keep the Board’s yearly liabilities from exceeding its assets. The auditor who performs the annual audit under section 807(a) will report whether the Director followed these rules in the report required by section 807(b). If the Director did not comply, the Board must order corrections and remove and replace the Director if problems are not fixed quickly.
